About the role
We are looking for a Legal and Compliance Ops Associate to join our small, but mighty Legal and Compliance team to accelerate the development of our legal and compliance programs. This is a generalist role, with an emphasis on maintaining and supporting our global portfolio of legal entities. You will create and maintain legal entities around the world, coordinate the approval and filing of annual reports and financial statements, support the administration of board meetings and corporate records, and help with other compliance matters. You will develop processes from the ground up to create standardized procedures that help the Legal and Compliance team and Rippling operate more efficiently and effectively. You Will
- Manage the lifecycle of our global legal entities, including entity formations, dissolutions, intercompany funding transactions, changes to directors and officers, and other corporation actions.
- Support corporate governance processes by coordinating subsidiary board meetings, including drafting agendas and preparing board and committee materials, resolutions and minutes.
- Manage annual statutory filings, including the preparation, approval and filing of annual reports and financial statements, while ensuring adherence to applicable compliance requirements.
- Collaborate with outside counsel on subsidiary governance matters, including drafting various corporate documents, such as formation documents, board and shareholder resolutions, and powers of attorney, as well as coordinating notarizations and legalizations of documents, as needed.
- Assist with Ultimate Beneficial Ownership disclosures and filings, as well as with KYC / AML requests.
- Maintain accurate corporate records and update internal entity management systems.
- Liaise with internal stakeholders, outside counsel, and various international government authorities regarding compliance-related matters.
- Support other legal and compliance projects as needed.
You Have
- 2+ years of paralegal experience or experience in a legal and/or compliance function. (Prior experience with corporate or subsidiary management matters is a plus)
- Exceptional attention to detail.
- Strong project management, time management, and organizational skills.
- Strong analytical and problem-solving skills.
- Entrepreneurial mindset (flexible, self-starting and hard-working).
- Ability to execute tasks at high speed.
- Sense of humor.
